This Agreement (“Agreement”) is by and between Desert Knight News and you, your heirs, agents, successors and assigns (“You”), and is effective as of the date of electronic execution. This Agreement sets forth the terms and conditions of Your use of Desert Knight News.com website (“Website”) and services (“Services”). The Agreement explains Desert Knight News.com obligations to You and Your obligations to Desert Knight News in relation to the Website or Services You purchase and/or use. We reserve the right to change the terms of this Agreement or to modify any features of these Services at any time. By registering for these Services and/or continuing to use these Services after the posting of Notices regarding such changes, you agree to be bound by such changes.

This Agreement as well as any additional Desert Knight News policies, together with all modifications thereto, constitute the complete and exclusive agreement between You and Desert Knight News concerning Your use of Desert Knight News Website and Services, and supersedes and governs all prior proposals, agreements, or other communications. All Desert Knight News policies and agreements specific to the use of the Website or Services are incorporated herein and made part of this Agreement by reference. By purchasing Desert Knight News Services, You acknowledge that You have read, understood, and agree to be bound by all terms and conditions of this Agreement and any other policies or agreements made part of this Agreement by reference, as well as any new, different or additional terms, conditions or policies which Desert Knight News may establish from time to time, and any agreements that Desert Knight News is currently bound by or will be bound by in the future.

In addition to transactions entered into by You on Your behalf, You also agree to be bound by the terms of this Agreement for transactions entered into on Your behalf by anyone acting as Your Agent, and transactions entered into by anyone who uses the account You’ve established with Desert Knight News, whether or not the transactions were in Your behalf.

1. You represent that you have read and agree to abide by the DesertKnightNews.com Terms and Conditions of Use and Privacy Policy.
2. CHANGES – You agree that Desert Knight News may modify this agreement from time to time. You agree to be bound by any changes Desert Knight News may reasonably make to this agreement.
3. PURPOSE – The Desert Knight News website is not the typical merchant website. Desert Knight News.com provides the advertising space for businesses and individuals both, to offer for sale, goods and services. We are not involved in the transaction between the buyers and the sellers and make no warranties for any product or service advertised here. We have no control over the accuracy of advertisements, legality, quality, safety, or availability of the items or services advertised.
4. INTERACTIONS – Your interactions with individuals and/or companies found through the Service are entirely between you and the individuals and/or the companies you have chosen. You agree that Desert Knight News shall not be responsible for any loss and/or damage of any type that incurred as a result of Your dealings with individuals and/or companies. If a dispute arises between participants of this site or any third party, You understand and agree that Desert Knight News is under no obligation to become involved. In the event of a dispute You hereby release Desert Knight News, its parent, affiliates, and their members, managers, member managers, directors, officers, employees, shareholders, agents, licensors, from claims, demands for damages, (actual and consequential) of every kind or nature, known or unknown, suspected or unsuspected, disclosed or undisclosed, that arise out of or are in any way related to disputes and our Service.
5. MAINTAIN ACCURATE INFORMATION – You agree to maintain accurate information and provide updates to Desert Knight News as needed, while you are using Desert Knight News Services. You agree that Desert Knight News may use and rely upon information provided by You for all purposes in connection with Your Services, subject to the Desert Knight News Privacy Policy.

7. ACCOUNT INFORMATION & SECURITY – You agree that you are entirely responsible for maintaining the confidentiality of your account login information and password. You agree that You are entirely responsible all activities that occur under your account. You agree to notify Desert Knight News of any unauthorized access to your account, or any other breach of security. You agree that Desert Knight News will not be liable for any loss that may occur as a result of someone using Your account access information, with or without your knowledge. You agree that you could be held liable for losses incurred by Desert Knight News or another party due to someone else using Your account information. Be sure to keep Your account access information in a secure location. Desert Knight News disclaims liability for any activity in your account whether it was authorized by You or not.
8. UNLAWFUL CONDUCT & IMPROPER USE – You agree that as a condition of your use of the Desert Knight News Website and Service that you will not use them for a purpose that is unlawful or prohibited by these terms and conditions. You also to agree to and comply with any local, state, federal and international laws, or government rules or requirements. Additionally, you agree that if for any reason, Desert Knight News, needs to take corrective action as a result of Your improper or illegal use of its’ Website or Services, that you will not be entitled to a refund of any fees.
Desert Knight News reserves the right to disclose any information as deemed necessary in order to satisfy any legal process or government request. Additionally, Desert Knight News may refuse to post, edit, and/or remove any material with or without notice as it is deemed necessary.

If You have purchased Services, Desert Knight News is not obligated to monitor Your use of Services, but reserves the right to review the use of the Services and may terminate Services without notice and for any reason.
 Desert Knight News reserves the right to terminate Services if Your use of Services results in legal action, or threatened legal action against Desert Knight News, its parent, members, affiliates or partners. 

 Desert Knight News reserves the right to cancel Your use of the Service if it is determined by Desert Knight News in its sole discretion that Your use of the Service is connected with spam, illegal activities or morally objectionable material. Morally objectionable activities include, but not be limited to: any activities designed to defame, embarrass, harm, abuse, threaten, slander or harass third parties; activities prohibited by the laws of the United States and/or foreign territories in which You conduct business; activities designed to encourage unlawful behavior by others, such as hate crimes, terrorism, pornography and child pornography; activities that are tortuous, vulgar, obscene, invasive of the privacy of a third party, racially, ethnically, or otherwise objectionable; activities designed to impersonate the identity of a third party; illegal access to other computers or networks (i.e., hacking); the distribution/spreading of Internet viruses or similar destructive activities; and activities designed to harm or use minors in any way. In the event Desert Knight News deletes Your Services because they are being used in association with either spam, morally objectionable or illegal activities, no refund will be issued. You agree You will not be entitled to a refund of any fees paid to Desert Knight News if, for any reason, Desert Knight News takes corrective action with respect to Your improper or illegal use of its Services.
9. CONTENT – You understand that all content, or postings, messages, text, files, images, graphics, photos, video, audio, or other materials (“Content”) posted on, transmitted through, or linked from the Service, are the sole responsibility of the person from whom such Content originated. You are entirely responsible for all Content that you post, or email and is made available through the Service. You understand that Desert Knight News does not control, and is not responsible for, Content made available through the Service. The site and Content available through the Service may contain links to other websites, which are completely independent of Desert Knight News. Desert Knight News makes no representation or warranty as to the accuracy, completeness or authenticity of the information contained in any such site. Under no circumstances will Desert Knight News be liable in any way for any Content or for any loss or damage of any kind incurred as a result of the use of any Content posted, emailed or otherwise made available through the Service.

COPYRIGHTS & INTELLECTUAL PROPERTY – This Service, including, but not limited to, text, images, photographs, graphics, video or audio content, is protected by copyright as a collective work or compilation under the copyright laws of the United States and other countries. All individual advertisements, features, write ups or articles, and any other elements are all considered content that comprise this Service, are also copyrighted works. You must abide by all additional copyright notices or restrictions contained in this Service. By posting content on the Service, a user is giving Desert Knight News the right to display such content on the Service and its affiliated publications and to use such content for promotional and marketing purposes. 

You agree that Desert Knight News or its licensor holds all rights, title and interest in all Software and Services and all intellectual property, including other rights related to intangible property, unless otherwise indicated. This Agreement does not transfer ownership of any of these rights. Desert Knight News and its parent expressly reserves its rights in and to all content and materials. Desert Knight News shall own all proprietary rights in any modifications made to the Website or Service whether created by Desert Knight News, users or other third party. You hereby assign to Desert Knight News all proprietary rights, including copyright, patent, or any trade secret rights to any modifications created by You. You acknowledge that no title or interest in such Intellectual Property Rights is being transferred to You and You agree to make no claim of interest in any such Services or Software. 

With the exception for content you have posted on the Service, or unless expressly permitted, you may not copy, reproduce, distribute, publish, enter into a database, display, perform, modify, create derivative works, transmit, or in any way exploit any part of this Service. You may not display the Content of the Desert Knight News’s website from within a framed environment or similar, of another website.

We reserve the right to take over the exclusive defense of any claim for which we are entitled to indemnification under this Section. In such event, you shall provide us with such cooperation as is reasonably requested by us.

We are not responsible for the availability or content of other services that may be linked to this Service or that you may link to. We do not make any warranties, express or implied, including and without limitation, those of merchantability and fitness for a particular purpose, with respect to the Service or any information or goods that are available or advertised or sold through this Service. We reserve the right to correct any errors or omissions in this Service. Desert Knight News, its parent, members, member managers, officers, directors, managers, employees, shareholders, partners, affiliates, agents, or licensors are not liable for incidental, indirect, consequential, special, punitive, or exemplary damages of any kind, including lost revenues or profits, loss of business or loss of data, in any way related to this Service or for any claim, loss or injury based on errors, omissions, interruptions or other inaccuracies in this Service, including and without limitation as a result of a breach of any warranty or other term of this Agreement. Any claim against any of the above, shall be limited to the amount you paid, if any, for use of this Service.
15. You and Desert Knight News are independent contractors. There is no agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship created by this Agreement.
16. This Agreement may be terminated by either party for any reason at any time.

This Agreement shall be governed by the laws of the United States and the laws of Arizona. By using the Desert Knight News Service and DesertKnightNews.com, you agree to abide by the terms of this agreement.
